GODSLOGO.COM LOGO DESIGN CONTEST
OFFICIAL CONTEST RULES

ENTER A LOGO OF YOUR DESIGN FOR THE OPPORTUNITY TO EARN PRIZES AND HAVE YOUR LOGO BE ASSOCIATED WITH GODSLOGO.COM. NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. THE CONTEST IS VOID OUTSIDE OF THE 50 UNITED STATES, THE DISTRICT OF COLUMBIA AND WHERE PROHIBITED OR RESTRICTED BY LAW.

1. ENTRY. This contest (the “Contest”) will be conducted exclusively on the Internet and provides contestants (each an "Entrant") with the opportunity to submit a graphic design (“Logo”) which will be judged and eligible for one of the Prizes described below subject to the terms and conditions herein. To participate, log on to www.godslogo.com ("Website") during the period commencing at 12:00 P.M. Eastern Time ("ET") on June 27, 2009 and ending at 5:00 P.M. ET on October 5, 2009 ("Entry Term") and click on the update titled “Logo Design Contest”, which will take you to the Contest page. Any attempted form of entry other than as described herein is void. Entry into the Contest may only be made during the Entry Term. In order to enter the contest, each Entrant is required register as a member of the Website (“Member”) and must carefully read, review and complete all of fields required for registration as a Member and for entry in the Contest as more detailed on the Contest page. Each Entrant is permitted to upload up to a maximum of eight (8) Logos for consideration.

2. PRIZES. Each logo uploaded (each a “Submission”) to the GodsLogo.com site will be considered as a single entry in our God's Logo contest. Each Submission has an equal chance to win one of the following prizes:

• One 1st Place: one (1) $2500 Apple® Gift Card*
• One 2nd Place: one (1) $1000 Apple® Gift Card*
• One 3rd Place: one (1) $500 Apple® Gift Card*
• Five Honorable Mentions: one (1) $50 Apple® iTunes® Gift Card*

*Prizes are subject to availability at the time of announcement of the winners (each a “Winner” and collectively, the “Winners”). If the prizes above are not available, alternate prizes of equal cash value will be awarded in their place. 3. PRIZE WINNER NOTIFICATION. Entrant acknowledges that, if Entrant’s Submission is selected for any prize, such selection is conditioned upon Entrant providing a signed and notarized form of release substantially identical to that set forth above and upon verification, including without limitation, verification of eligibility, compliance with these Official Rules, proof of age and, if necessary, parental and/or guardian consent to all of the terms set forth above. Failure to provide all such signatures and proof will disqualify Entrant from further participation and any awards. All Entrants agree to be bound by these Official Rules and the decision of the judges of the Contest (the “Judges”), whose decisions are final and binding. Each Winner will be notified by email at the address provided by Entrant at the time of registration. The Winner must comply with all terms and conditions set forth in these Official Rules, and winning is contingent upon fulfilling all such requirements.

4. Contest Guidelines

• Eligibility: The Contest is open to all individuals 18 and over living in one of the 50 United States or the District of Columbia who register as members of the Website.
• The owners of this Website and sponsor of the Contest, Keld Publishing, L.L.C. (“Keld Publishing”) will select contest Winners using the ratings guide.
• The Submissions will be judged by their artistic and technical quality and be judged by the staff of Keld Publishing.
• Logo Specifications: Each Submission will count as one entry. Members may upload up to 8 Logos per account. Duplicate logos and non-logo designs will not be considered. The Logos must be in JPG format and are limited to 2MB in size. Files larger than 2MB or not in JPG format will not be accepted. The Logos must also meet the format and technical specifications outlined on the Website.
• Each Logo must have the word “GOD” in the Logo. Uppercase or lowercase or any combination of uppercase and lowercase is acceptable.
• Each Logo must be in good taste. No crude or pornographic images or logos will be accepted.
• Any crude or pornographic logos will result in deletion of the logos and the associated accounts without prior warning and notification.
• Keld Publishing, L.L.C reserves the right to refuse any Submission for any reason.
• Keld Publishing, L.L.C. reserves the right to delete any Logos and user accounts for any reason without prior warning and notification.
• Keld Publishing, L.L.C. reserves the right to refuse or remove any Logo submitted that is identical or substantially similar to another Logo previously submitted by another Entrant. In the event that similar logos are received, the first logo to be submitted will be considered in the contest.
• Winner(s) will be listed on the website and notified by email.
• Prizes are non-transferable and not redeemable for cash.
• Prizes will be awarded to the registered individual listed on the name of the account.
• Employees of GodsLogo.com and Keld Publishing, L.L.C., its subsidiaries, affiliates, and their families are not eligible to enter.
• This Contest is subject to all applicable federal, state, local and municipal laws and regulations.
• Except where legally prohibited, acceptance of any prize constitutes permission for Keld Publishing, L.L.C. to use each winner’s name, photograph, likeness, voice, address (city and state), testimonials, and winning entry in printed, broadcast or other media, whether now known or hereafter developed, in perpetuity, in any manner it deems appropriate in connection with promoting this or any other Contest and/or promotion sponsored by it, without further compensation to the winner.
• Participating Entrants agree that Keld Publishing, L.L.C., its subsidiaries, participating sponsors, their affiliates, officers, directors, agents and their employees shall not be responsible for lost, misdirected, illegible or late entries, or by any damages or losses caused by the prizes.
• By entering the Contest and submitting Logos for consideration in the Contest, all Entrants accept these rules and agree to be bound by the results of the Winner selections. All decisions made by Keld Publishing, L.L.C. are final.

Please note: During the duration of the contest, in order to ensure an accurate logo count, no members will be able to delete logos from their accounts once uploaded.

5. OWNERSHIP AND GRANT OF RIGHTS.

• You, the Entrant, retain all of the ownership rights in your Submissions. However, by submitting your Submissions for entry in the Contest, you hereby grant to Keld Publishing, L.L.C. and GodsLogo.com (“Keld/GodsLogo”) and/or its affiliates or partners, its licensees, successors, assigns, affiliates and partners a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, and display your Submissions in any manner at Keld/GodsLogo’s sole discretion, including without limitation, for use in future advertising, promotion, public display on the Internet, advertising, book or other publications and publicity in any medium now known or hereafter devised throughout the world in perpetuity, without notice, approval or other consideration to you or any third party. Submissions must not be submitted to any other site or as an entry for any other contest or purpose. Logos cannot be reposted to the Website once they have been taken down by Keld/GodsLogo without Keld/GodsLogo's prior written approval.
• ENTRANT WILL NOT BE PAID FOR SUBMISSION or for granting any of these rights. Entrant agrees to waive all claims to and shall receive no royalties of any kind now or in the future from Keld/GodsLogo and its respective affiliates, or and their respective licensees, successors and assigns for use of your Submission on the Website or otherwise, and you represent, warrant and agree that no other party is entitled to claim royalties from the use of the Submission as set forth in these Official Rules, and that the Submission is not subject any collective bargaining agreements. Entrant agrees to indemnify, defend and hold harmless Keld/GodsLogo and its respective parents, affiliates, subsidiaries, advertising and promotion agencies, licensees, successors and assigns and all of their respective officers, directors, agents and employees (collectively, “Released Parties”) from and against any and all liability, losses, costs and expenses (including attorneys' fees) incurred as a result of any Submission submitted or transmitted through the Website in violation of these terms or any rights granted herein.
• Be aware that your Submissions may not be acknowledged and will not be received or held "in confidence" and your Submissions do not create a confidential, fiduciary or other special relationship between Entrant and Keld/GodsLogo or any of its respective affiliates or any of their respective licensees, successors or assigns or place Keld/GodsLogo or any of its respective affiliates, licensees, successors or assigns in a position that is any different from the position held by members of the general public with regard to elements of your Submission. By uploading Submissions, Entrant acknowledge and agree that Keld/GodsLogo or any of its respective affiliates or any of their respective licensees, successors or assigns may create their own materials and/or obtain many Logos under this Website and that such Logos may be similar or identical in theme, idea, plot, format or other respects to your Submission and you waive any and all claims you may have had, may have, and/or may have in the future that any other Logos accepted, reviewed and/or used by the Website or Keld/GodsLogo, any of its respective affiliates or any of their respective licensees, successors or assigns may be similar to your Submission. Entrant acknowledges and agrees that neither Keld/GodsLogo nor any of its licensees, successors or assigns has now, or shall have in the future, any duty or liability, direct or indirect, vicarious, contributory or otherwise, with respect to the infringement or protection of any copyright in and to your Submission, and that Keld/GodsLogo, and its respective licensees, successors or assigns are not responsible for the loss, deletion, failure to store or misdelivery of any Submission submitted to or transmitted through the Website.

6. LEGAL NOTICES.

• Each Entrant represents and warrants that each Submission is: (a) wholly original; (b) does not incorporate or include any material that would require the consent of any third party; and (c) does not violate any copyright, trademark, publicity right, privacy right, or any other right of any third party.
• Keld/GodsLogo shall have no obligation (express or implied) to use any Submission or to otherwise exploit any Submission or, if commenced, to continue the distribution or exploitation thereof, and Keld/GodsLogo may at any time abandon the use of the any Submission for any reason, with or without legal justification or excuse, and Entrants shall not be entitled to any damages or other relief by reason thereof. The use of any Submission by Keld/GodsLogo on T-Shirts or other promotional materials will be determined by Keld/GodsLogo in its sole discretion.
• Entrant agrees that any disputes arising out of Entrant’s submission of Submissions through this website shall be venued in a court of appropriate jurisdiction in Wake County, North Carolina and governed by the laws of the State of North Carolina without reference to any conflict of laws provision.
• Entrant agrees to comply with all Federal, State and Local laws in the creation and submission of all Submissions and in the acceptance of any prizes which may be awarded.
• God’s Logo is a trademark of Keld Publishing, L.L.C. pending registration with the USPTO having Serial Number 77646651.
• In its sole discretion, Keld/GodsLogo has the right to cancel, terminate or suspend the Contest; and in such event, to select from among all eligible Submissions received up to such time of cancellation, termination or suspension, or to cancel the Contest and not award any Prize. In the event that any Entrant attempts to defraud or in any manner tamper with this Contest, Entrant will be ineligible for the a prize. Void where prohibited by law. Keld Publishing, L.L.C. reserves the right, in its sole discretion, to substitute prizes of equivalent value in order to comply with any applicable international, federal, state and/or local laws. These rules are subject to change at any time without prior notification.
• Keld/GodsLogo is not responsible for any Submissions that are altered, defective, delayed, deleted, destroyed, fraudulent, improperly accessed, inaccurate, incomplete, interrupted, invalid, late, lost, misrouted, multiple, non-delivered, stolen, tampered with, unauthorized or unintelligible; or for lost, interrupted or unavailable network, server or other connections; miscommunications; failed phone, computer hardware or software or telephone transmissions; technical failures; unauthorized human intervention; traffic congestion; garbled or jumbled transmissions; undeliverable e-mails resulting from any form of active or passive e-mail filtering; insufficient space in Entrant’s e-mail account to receive e-mail; or other errors of any kind, whether due to electronic, mechanical or human error or other causes, even if caused by the negligence of the Keld/GodsLogo.
• By participating, Entrants agree to release and hold harmless Keld/GodsLogo from any and all liability, for loss, harm, damage, claim, injury, cost or expense whatsoever which may occur as a result of participating in the Contest. The Winner’s acceptance of the Prize constitutes the grant of an unconditional right to use the winning Submission, the Winner’s likeness, photograph, biographical and Prize information and/or statements about the promotion for any publicity, advertising and promotional purposes without additional compensation, except where prohibited by law.
• CAUTION: KELD/GODSLOGO RESERVES THE RIGHT IN ITS SOLE DISCRETION TO DISQUALIFY ANY ENTRANT WHO IS FOUND TO BE TAMPERING WITH THE ENTRY PROCESS OR THE OPERATION OF THE CONTEST OR THE WEBSITE, TO BE ACTING IN VIOLATION OF THESE OFFICIAL RULES, OR TO BE ACTING IN AN UNSPORTSMAN-LIKE OR DISRUPTIVE MANNER, OR WITH THE INTENT TO DISRUPT OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST, OR TO ANNOY, ABUSE, THREATEN OR HARASS ANY OTHER PERSON, AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
• All Submissions will be treated as non-confidential. All personal information submitted as part of the Contest will be subject to GodsLogo.com’s privacy policies. By participating in the Contest, Entrants agree to collection and usage of their personal information and acknowledge that they have read and accepted Keld/GodsLogo.com’s privacy policy.
• Each Entrant hereby acknowledges and agrees that the relationship between the Entrant and Keld/GodsLogo is not a confidential, fiduciary, or other special relationship. Each Entrant understands and acknowledges that Keld/GodsLogo has wide access to ideas, stories, designs, and other literary materials, and that new ideas are constantly being submitted to it or being developed by its own employees. Each Entrant also acknowledges that many designs, ideas, or stories may be competitive with, similar or identical to the Submission. Each Entrant acknowledges and agrees that such Entrant will not be entitled to any compensation as a result of Keld/GodsLogo’s use of any such similar or identical material that has or may come to Keld/GodsLogo from other sources. Finally, each Entrant acknowledges that, with respect to any claim by Entrant relating to or arising out of Keld/GodsLogo’s actual or alleged use of any Submission or other material submitted in connection with the Contest, the damage, if any, thereby caused to the applicable Entrant will not be irreparable or otherwise sufficient to entitle such Entrant to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition or other exploitation of any Submission and Entrant’s rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.
